Terms & Conditions

These Terms & Conditions (“Terms”) govern your purchase of products—including Helmets, Protective Gear (knee pads, elbow guards, wrist guards), and Bicycle Odometers—and use of services from our cycling gear store (the “Store”). By placing an order, creating an account, or interacting with our Store (online or via email), you (“Customer”) acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree, please refrain from purchasing our products or using our services.

1. Order Placement & Acceptance

1.1 Order Submission

When you submit an order (via our website, email, or authorized third-party platforms), you make a binding offer to purchase the selected products (e.g., “Medium CPSC-Certified Helmet,” “Waterproof Bicycle Odometer,” “Mountain Bike Protective Gear Set”) at the listed price. This price includes applicable U.S. sales tax (calculated based on your shipping address) and excludes shipping fees (unless free shipping applies, per our Shipping Policy).
You confirm that all information provided during checkout—including shipping address, Helmet size, payment details, and contact information—is accurate and complete. For Bicycle Odometers or custom Helmets, you also confirm that you have reviewed product specifications (e.g., GPS functionality, size charts) to ensure compatibility with your needs.

1.2 Order Acceptance

We reserve the right to accept or reject any order at our discretion. Order acceptance is confirmed only when we send a written order confirmation email (containing your order number, product details, and estimated delivery date) to your registered email address. We may reject orders for reasons including, but not limited to:
  • Stock unavailability (e.g., a Helmet model is out of stock due to high demand).
  • Pricing errors (e.g., a typo in the listed price of a Bicycle Odometer).
  • Suspected fraudulent activity (e.g., use of stolen payment details).
  • Inability to deliver to your address (e.g., remote areas not covered by our carriers).
If we reject your order, we will notify you via email within 2 business days and issue a full refund for any payments already processed (refunds typically take 3–5 business days to appear in your account, depending on your payment provider).

1.3 Order Modifications & Cancellations

You may modify or cancel your order only if the order has not yet shipped (i.e., before you receive a shipment notification email). To modify or cancel:
  • Email us at genial-tarsi.2f@icloud.com with your order number and the requested change (e.g., “Change Helmet size from Medium to Large” or “Cancel Bicycle Odometer order”).
  • We will confirm the modification or cancellation via email within 1 business day.
Once an order has shipped, modifications or cancellations are no longer possible. You will need to follow our Return & Exchange Policy to return the item after delivery.

2. Payment Terms

2.1 Accepted Payment Methods

We accept the following payment methods for U.S. orders, all processed via PCI DSS-compliant gateways to ensure security:
  • Credit/debit cards: Visa, Mastercard, American Express, Discover.
  • Digital wallets: PayPal, Apple Pay, Google Pay.
  • Buy-now-pay-later services: Klarna (subject to Klarna’s separate terms of service, available via link at checkout).
We do not accept cash, checks, or money orders for online orders. For in-person purchases (if applicable), cash and credit/debit cards are accepted.

2.2 Payment Authorization

By providing your payment details, you authorize us to charge the full order amount (product cost + shipping fees + sales tax) to your selected payment method. For Klarna or other installment services, you authorize the provider to process payments according to their agreed schedule.
If your payment is declined (e.g., insufficient funds, expired card, fraud alert), we will notify you via email to update your payment information. You must provide valid payment details within 5 business days; otherwise, your order will be canceled, and no further action will be taken.

2.3 Payment Disputes

If you dispute a payment with your bank or payment provider (e.g., a chargeback for a Helmet you received but claim is defective), you must first attempt to resolve the issue with us directly (per our Return & Exchange Policy). Failure to do so may result in:
  • A $25 administrative fee (to cover costs associated with responding to the dispute, such as providing evidence to your bank).
  • Suspension of your account (preventing future purchases) until the dispute is resolved.
We reserve the right to pursue legal action if disputes are found to be unfounded (e.g., you claim an item was not delivered but tracking shows it was signed for).

3. Product Specifications & Safety

3.1 Accuracy of Product Information

We make every effort to ensure that product descriptions, images, and specifications (e.g., Helmet safety certifications, Bicycle Odometer features, Protective Gear material) are accurate and up-to-date. However, minor variations may occur:
  • Color: Due to differences in screen resolution, the color of a Helmet or Protective Gear may vary slightly from the image on our website. We recommend viewing product images on multiple devices to get a better sense of color, or email us for physical swatches (available for Helmet fabrics).
  • Dimensions: Helmet sizes and Bicycle Odometer dimensions are approximate (±2mm) due to manufacturing processes. Exact measurements are listed on each product page—contact us if you need precise dimensions for compatibility (e.g., a Bicycle Odometer mount that fits your handlebar).
  • Features: For Bicycle Odometers, software features (e.g., GPS accuracy, battery life) may vary slightly based on usage (e.g., battery life is shorter when using GPS continuously).

3.2 Safety Certifications & Intended Use

All our products meet or exceed U.S. safety standards to protect your well-being:
  • Helmets: Certified to CPSC 16 CFR Part 1203 (mandatory for cycling Helmets sold in the U.S.), ensuring they withstand impact from falls. Helmets are designed for recreational and competitive cycling only—they are not suitable for motorized vehicles (e.g., motorcycles, scooters).
  • Protective Gear: Certified to ASTM F1447 (U.S. standard for 轮滑 and cycling protective gear), with shock-absorbing foam cores to minimize injury. They are intended for cycling use and should not be used for high-impact sports (e.g., skateboarding, snowboarding) unless specified.
  • Bicycle Odometers: Meet FCC Part 15 standards for electromagnetic compatibility, ensuring they do not interfere with other devices (e.g., bike lights, heart rate monitors). They are designed for outdoor cycling and may not function properly in extreme temperatures (below -10°C or above 40°C).
Misuse of products (e.g., using a cycling Helmet for a motorcycle, submerging a non-waterproof Bicycle Odometer) may void warranties and result in personal injury—we are not liable for such issues (see Section 5 for liability limitations).

4. Warranties

4.1 Manufacturer’s Warranty

We offer a limited manufacturer’s warranty for all products sold in the U.S., covering manufacturing defects (not normal wear or misuse):
  • Helmets: 2-year warranty. Covers issues including cracked impact shells, broken straps, faulty buckles, and padding deterioration (excludes damage from falls or accidents).
  • Protective Gear: 1-year warranty. Covers torn outer shells, broken straps, foam core compression (not from falls), and defective Velcro closures.
  • Bicycle Odometers: 1-year warranty. Covers screen failure, battery issues (for non-replaceable batteries), GPS connectivity problems, and button malfunctions (excludes damage from water if not IPX-rated).

4.2 Warranty Claims

To file a warranty claim:
  1. Email us at genial-tarsi.2f@icloud.com with your order number, product model, photos/videos of the defect, and a description of when the issue started.
  2. We will review your claim within 2 business days and notify you of approval or denial.
  3. If approved, we will either:
    • Ship a replacement product via Express Shipping (free of charge) within 5 business days.
    • Offer a full refund to your original payment method.
    • Send replacement parts (e.g., Helmet straps, Odometer chargers) for minor issues.
Warranties apply only to products purchased directly from our Store (not third-party retailers like Amazon or eBay) and require proof of purchase (order confirmation email).

5. Liability Limitations

5.1 Our Liability

We are liable for:
  • Defective products covered by our warranty (per Section 4).
  • Errors in order fulfillment (e.g., sending the wrong Helmet size, missing Odometer accessories) per our Return & Exchange Policy.
  • Damages caused by our negligence (e.g., shipping a Helmet without proper packaging, leading to damage).
Our liability is limited to:
  • Replacing the defective/incorrect product.
  • Issuing a full refund of the order amount (including shipping fees).
  • Reimbursing reasonable costs directly related to the issue (e.g., return shipping for a defective item).
We are not liable for:
  • Personal injury or property damage caused by misuse of products (e.g., a Helmet failing to protect in a crash because it was not worn correctly).
  • Indirect losses (e.g., missed cycling events due to delayed Helmet delivery, lost data from a faulty Bicycle Odometer).
  • Damages caused by third parties (e.g., carrier-related damage not reported within 48 hours of delivery, defects from unauthorized repairs).

5.2 Your Liability

You are liable for:
  • Providing accurate information at checkout (e.g., correct shipping address, Helmet size). If a delivery is missed or delayed due to incorrect details, you may be charged a $15 re-delivery fee.
  • Returning products in accordance with our Return & Exchange Policy (e.g., unused condition, original packaging). If returned items are damaged during transit (due to poor packaging), we may deduct a repair fee from your refund.
  • Using products in compliance with safety standards (e.g., wearing a Helmet correctly, following Odometer usage instructions).

6. Account Responsibilities (For Online Orders)

If you create an account on our website to track orders, save payment details, or store product preferences:
  • You are responsible for maintaining the confidentiality of your account credentials (username, password) and for all activities conducted under your account (e.g., placing an order, saving a Bicycle Odometer to your cart).
  • Notify us immediately via email if you suspect unauthorized access to your account (e.g., unknown orders placed in your name). We will assist with resetting your password and investigating the issue within 1 business day.
  • We reserve the right to suspend or terminate accounts for:
    • Fraudulent activity (e.g., using stolen payment details to purchase a Helmet).
    • Violation of these Terms (e.g., returning used products as “unused”).
    • Inactivity for 12+ consecutive months (we will notify you via email 30 days before termination).

7. Shipping & Delivery (Incorporation of Shipping Policy)

All orders are subject to our separate Shipping Policy, which covers delivery destinations (e.g., 50 U.S. states, U.S. territories), shipping costs (including free shipping eligibility for orders over $75), delivery timelines (2–4 business days for mainland U.S. standard shipping), and handling of shipping issues (e.g., delayed or damaged deliveries). By placing an order, you acknowledge that you have read and understood our Shipping Policy.
Risk of loss or damage to products passes to you upon delivery (as confirmed by carrier tracking or your signature). If you are not available to receive a delivery, the carrier will leave a notification with instructions to reschedule—failure to reschedule within 7 days may result in the order being returned to us, and you may be charged a $20 return fee.

8. Termination

We may terminate or suspend your access to our Store, cancel your order, or refuse future purchases if you:
  • Violate these Terms (e.g., providing false information, disputing payments without cause).
  • Engage in fraudulent or deceptive practices (e.g., claiming a Bicycle Odometer is defective when it was damaged by misuse).
  • Harass our staff (via email, phone, or other channels) or other customers.
Termination will not affect any rights or obligations incurred prior to termination (e.g., payment for a Helmet already delivered, return obligations for a defective Protective Gear set).

9. Governing Law & Dispute Resolution

9.1 Governing Law

These Terms are governed by the laws of the State of Ohio, U.S.A., without regard to its conflict of law principles. This means any disputes related to these Terms will be resolved under Ohio law.

9.2 Dispute Resolution

  • Informal Resolution: Before initiating legal action, please contact us at genial-tarsi.2f@icloud.com to resolve disputes informally. We will respond to your inquiry within 2 business days and work in good faith to find a mutually acceptable solution (e.g., replacing a defective Helmet, adjusting a billing error).
  • Mediation: If informal resolution fails, we recommend mediation through the American Arbitration Association (AAA), a neutral organization that facilitates disputes. Mediation is voluntary and often faster/less costly than litigation.
  • Small Claims Court: For disputes involving $10,000 or less (e.g., a Helmet priced at $89.99), you may file a claim in the small claims court of your local jurisdiction (or Ohio, if you prefer).
  • Arbitration: For disputes over $10,000, both parties agree to resolve the issue through binding arbitration administered by the AAA, in accordance with its Commercial Arbitration Rules. Arbitration will take place in Cleveland, Ohio, or via virtual hearing (if agreed).
You waive the right to participate in a class action lawsuit or class-wide arbitration for disputes related to these Terms.

10. Amendments to Terms

We may update these Terms from time to time to reflect changes in laws (e.g., U.S. sales tax regulations), business practices (e.g., adding new payment methods), or product offerings (e.g., introducing smart Bicycle Odometers). Updated Terms will be posted on our website with a “Last Updated” date.
Your continued use of our Store or purchase of products after the “Last Updated” date constitutes acceptance of the revised Terms. We recommend reviewing these Terms periodically—if you do not agree to the updated Terms, please stop using our services. We will notify you via email of significant changes (e.g., modifications to warranty terms) at least 30 days before they take effect.
By purchasing our products or using our services, you confirm that you have read, understood, and agreed to all provisions of these Terms & Conditions.
